The primary issue presented in this appeal is whether Maryland’s Uniform Partnership Act (UPA), Maryland Code (1975, 1993 Repl.Vol., 1998 Supp.), Corporations and Associations Article, § 9-101 et seq., 1 permits the estate of a deceased partner to demand liquidation of partnership assets in order to arrive at the true value of the business.
