NIEMEYER, Circuit Judge:

Ivan D. Jones, Jr., a stockbroker, was censured, suspended briefly, and fined in October 1992 by the National Association of Securities Dealers (“NASD”) for illegal conduct in connection with two private offerings and various “back room” violations.
