MEMORANDUM OPINION
BENNETT, District Judge.
Pending before this Court is the Motion to Dismiss for Lack of Subject Matter Jurisdiction filed by Defendant GranTurk Equipment, Inc. (“GranTurk”) on December 12, 2005 and the Motion for Summary Judgment filed by GranTurk on March 10, 2006. On August 12, 2004, Plaintiff Ecology Services, Inc. (“ESI”), a waste hauling company, filed a four-count Complaint in this Court against GranTurk and G & H Manufacturing alleging, inter alia, breach of contract.
