SKRETNY, District Judge.
INTRODUCTION
Before this Court are the parties’ cross-motions for summary judgment pursuant to Federal Rule of Civil Procedure 56. Plaintiff commenced this action against defendant on May 9, 1994, seeking damages for an alleged breach of contract and breach of the duty of good faith and fair dealing. This Court has jurisdiction pursuant to 28 U.S.C. § 1332 as the matter in controversy exceeds $50,000 exclusive of interest and costs, and plaintiff and defendant are citizens of different states.
