OPINION
STAPLETON, District Judge:
These two antitrust actions have been consolidated for consideration of certain preliminary issues. The plaintiffs in Civil Action No. 77-254 are the town of Smyrna and the cities of Newark and Milford. In Civil Action No. 77-296, the plaintiff is the City of New Castle. Each of the plaintiffs is a municipal corporation which owns and operates an electric distribution system in Delaware and which currently purchases all of its electric power requirements from the defendant, Delmarva Power and Light Company (“Delmarva”).
