PADGETT, J.

This is an appeal from a judgment below rendered in favor of the defendant-appellee after a jury-waived trial. Because of errors of law, we reverse.

On or about January 9, 1972, after some preliminary negotiations, an agreement was entered into whereby the appellant agreed to sell all of the outstanding shares of a corporation, Waper, Inc., to four persons of whom the appellee was one.
