OPINION
PANNER, Chief Judge.
Plaintiffs, Far West Federal Bank (Far West) and a number of its investors and stockholders (Investors), bring this action against the Director of the Office of Thrift Supervision (OTS), the Federal Home Loan Bank Board (FHLBB), the Federal Home Loan Bank of Seattle (FHLB-Seattle), the Federal Deposit Insurance Corporation (FDIC), and the Federal Savings and Loan Insurance Corporation (FSLIC). 1 The dispute concerns the enforceability of a 1987 agreement (Conversion Agreement) between Far West, the Investors, and predecessor agencies to OTS, after enactment of the…
