Plaintiffs are former owners of 500 shares of Universal Pictures Co., Inc. (Universal). They sue on their own behalf and on behalf of several hundred other Universal stockholders similarly situated. The alleged damages arise out of the purchase and sale of Universal stock, pursuant to a “short form” merger under Delaware law, of Universal into Universal City Studios, Inc.
