STEEL, District Judge.
Plaintiif, Ida May Voege, brings Civil Action 2301 as the “owner” of 450 shares of American Sumatra Tobacco Corporation (“Old Company”), and has named as defendants “Old Company”, Tobacco Holdings, Inc., (“New Company”), N. V. Deli Maatschappij (“Deli”), and George J. Fisher, the Register-in-Chancery of Delaware. Deli is incorporated under the law of The Netherlands, Old Company and New Company are incorporated in Delaware, and Fisher resides in Delaware.
