I. INTRODUCTION

Plaintiffs Robert Kessler and Vicki Cheikes (“Plaintiffs”), residents of the Grand Central Business Improvement District (“GC BID” or “District”), commenced this action pursuant to 42 U.S.C. § 1983. Plaintiffs allege that the disproportionate representation of property owners on the Board of Directors (“the Board”) of Defendant Grand Central District Management Association (“GCDMA”), as required by the GCDMA Bylaws, N.Y.
