HALLANAN, District Judge:
Defendant-Appellant Thomas Joseph Ward [hereinafter referred to as “Ward”] appeals from the district court’s grant of summary judgment for the Plaintiffs-Ap-pellees Guinness PLC and Guinness America, Incorporated, [hereinafter collectively referred to as “Guinness”] on Guinness’ complaint and Ward’s counterclaim.
