Appellant Luigino’s International, Inc. (“Luigino’s”), a Florida frozen food corporation, appeals the district court’s order dismissing with prejudice its fraud claim against Jamir Miller (“Miller”), the Chairman and Chief Executive Officer of Miller International Foods, Inc. (“Miller International”), a Georgia frozen food company. The district court held that Luigino’s fraud claim was barred under Florida’s economic loss rule, which prohibits claims in tort for damages which are the same as those for breach of contract.
