Plaintiff, Trafalgar Capital Corporation (“Trafalgar”), brings this diversity action against Oil Producers Equipment Corporation (“Oil Producers”); Rex G. Wallace and Charles C. Williams, Jr., respectively, President and Vice President of Oil Producers, in their individual capacities; and Tennessee Capital Corporation (“Tennessee Capital”). Trafalgar is a New York financial consulting service.
