Plaintiff Rolls-Royce Motors Inc. (“Rolls-Royce”), a Delaware corporation with its headquarters in New Jersey, has brought this action against Charles Schmitt & Co. (“Schmitt Co.”), a Missouri corporation, and Charles D. Schmitt (“Schmitt”), a resident of Missouri and president and principal stockholder of Schmitt Co. Schmitt Co., by virtue of a 1984 agreement (“Dealer Agreement”) with plaintiff, has been a dealer of new automobiles imported by plaintiff.
