Pending before the Court is a Motion to Dismiss Plaintiffs First Amended Complaint, pursuant to Rule 12(b)(6) of the Federal Rules of Civil Procedure, filed by The Goodyear Tire & Rubber Company (“Goodyear” or “Defendant”). The initial Complaint filed by Hardwire LLC (“Hard-wire” or “Plaintiff’) in the Circuit Court for Worcester County, Maryland, alleged anticipatory breach of contract, requested a declaratory judgment regarding the contract, and specific performance on the contract.
