MEMORANDUM AND ORDER

Plaintiffs Footbridge Limited Trust and OHP Opportunity Limited Trust (the “Funds”) assert claims for violations of sections 11, 12(a)(2) and 15 of the Securities Act of 1933 (the “'33 Act”). The claims arise out of plaintiffs’ purchase of mortgage-backed securities (“MBS”) from Countrywide through two public offerings (the “Securitizations”). Defendants move for summary judgment under Rule 56(a), Fed.R.Civ.P. For the reasons stated below, defendants’ motion for summary judgment is granted.
