OPINION

WOLIN, District Judge.

This matter comes before the Court on defendant’s motion to dismiss for failure to state a claim upon which relief may be granted pursuant to Rule 12(b)(6) of the Federal Rules of Civil Procedure. The Court has decided the motion on the papers pursuant to Rule 78 of the Federal Rules of Civil Procedure. For the following reasons, defendant’s motion will be granted, and the Complaint will be dismissed in its entirety.
