Plaintiff Jerry’s Enterprises, Inc. (“JEI”) brings this breach of contract and declaratory judgment action against its liability insurance carrier, Defendant U.S. Specialty Insurance Company (“U.S. Specialty”). JEI settled a lawsuit brought against JEI and two members of its board of directors by a third, former member of the board of directors, Cheryl Sullivan, and her two daughters.
