STEWART, Justice:

Plaintiff LeAnna Broadwater filed this action against Atlas Stock Transfer (Atlas) and Check Rite International (Check Rite) for wrongful refusal to transfer stock, conversion, and breach of an implied covenant of good faith and fair dealing. For the purpose of summary judgment, defendants conceded liability on the wrongful refusal to transfer stock and conversion claims, and the parties submitted the issue of damages to the district court.
