MEMORANDUM OPINION AND ORDER
JOINER, District Judge.
On November 23, 1971, an action was filed in the United States District Court, Eastern District of Michigan, Southern Division, by Phillip Warheit against Werner Osten alleging violations of Section 17(a) of the Securities Act of 1933, 15 U.S.C.A. § 77q(a); Section 10(b) of the Securities Exchange Act of 1934, 15 U.S.C.A. § 78j (b); and the General Rules and Regulations promulgated thereunder, particularly Rule 10(b)-5 of the General Rules and Regulations under the Securities Exchange Act of 1934.
