BOBBITT, Justice.

The opinion heretofore filed in this cause .is withdrawn, and this opinion substituted therefor. The matters of record brought to the attention of the court in plaintiff in error’s motion for rehearing have all been duly considered.

In the year 1929, James M. Barker and C. H. Peters owned a large tract of undeveloped land near the city of Harlingen, in Cameron county, Tex. They decided to make certain improvements upon and to sell the same as citrus fruit land.
