Appeal from an order of the Supreme Court (Best, J.), entered September 29, 1989 in Schenectady County, which denied plaintiff’s motion for summary judgment.

Defendant, the president and sole shareholder of Le Vison *866Care Products, Inc. (hereinafter Le Vison), entered into an agreement to sell plaintiff 39% of the outstanding shares of the corporation’s stock for $40,000.
