Jack Racine appeals from a judgment dismissing his action against his former business partner, Clarence Weisflog. Racine and Weisflog each owned a fifty percent interest in R-W Enterprises Co., Inc. (R-W), a sheet metal stamping firm. Weisflog allegedly deprived R-W of a business opportunity by forming and operating a tubular metal parts company, C&R Industries, Inc. (C&R). The central issue on appeal is whether the trial court applied the proper test in deter-' mining whether Weisflog breached his fiduciary duties to R-W when he founded C&R.
