JOHNSON, Circuit Judge:

This case arises on appeal from the district court’s grant of summary judgment holding that a tie vote among trustees over whether to increase benefits paid by a pension plan (“the Plan”) is subject to arbitration.

I. STATEMENT OF THE CASE

The Plan is an “employee pension benefit plan” within the meaning of Section 3(2)(A) of the Employment Retirement Income Security Act of 1974 (“ERISA”), 29 U.S.C. § 1002(2)(A), and a “multiemployer plan” within the meaning of ERISA §§ 3(37)(A) & 4001(a)(3), 29 U.S.C. §§ 1002(37)(A) & 1301(a)(3).
