OPINION
SWEET, District Judge.
Plaintiff The Swan Brewery Company Limited (“Swan”) brought this motion pursuant to Rules 15 and 38, Fed.R.Civ.P. for leave to amend and supplement its complaint filed on May 23, 1990 (the “Complaint”) against defendant United States Trust Company of New York (“U.S. Trust”). Based on events taking place after May 23, 1990, the proposed amended and supplemental complaint (the “Amended and Supplemental Complaint”) seeks to add claims for breach of trust and fiduciary duty, breach of agreement to hold funds in trust and conversion.
