Posture of the Case

This case pends on defendants’ motion for summary judgment. By separate stipulation the parties agreed that the issue of liability under § 10(b) of the Securities Exchange Act of 1934 and Rule 10(b)-5 promulgated thereunder as alleged in Count I of plaintiffs’ first amended complaint should be considered as a separate issue pursuant to Rule 42 (b), F.R.Civ.P.
