MEMORANDUM OPINION AND ORDER

ASPEN, District Judge:

Plaintiff Automotive Wholesalers of Illinois (“AWOI”) filed this diversity action seeking a declaration that a directors and officers liability and corporate reimbursement policy issued to AWOI by defendant National Union Fire Insurance Company of Pittsburgh, Pennsylvania (“National Union”), is valid and effective according to its terms. AWOI also seeks recovery of its attorneys’ fees on the ground that National Union’s denial of coverage was vexatious and unreasonable within the meaning of section 767 of the Illinois Insurance Code,…
