OPINION

ENSLEN, District Judge.

This case is before the Court on the United States and the State’s (“plaintiffs”) joint motion for summary judgment on their claims for liability under fraudulent conveyance and successor corporation doctrines. Grand Trunk Western Railroad Company, as third-party and cross plaintiff, also moves this Court for an order granting summary judgment in favor of plaintiffs.
