OPINION
TRAXLER, Circuit Judge:
This action arises out of a sales agreement between Destilería Serralles, Inc. (“Serralles”), a bottler of rum, and Figgie International, Ine. (“Figgie”), a manufacturer of bottle-labeling equipment. Following Figgie’s unsuccessful attempts to provide satisfactory bottle-labeling equipment to Serralles under the agreement, Serralles returned the equipment and received a refund of the purchase price.
