MEMORANDUM AND ORDER

This is a declaratory judgment action in which the plaintiff, Shakey’s, Inc. (“Shakey’s”), contends that a real property Lease Agreement between itself and Buddy, Inc., a dissolved corporation, is terminated. The following motions are before the Court: (1) motion of defendants, James F. Caple (“Caple”), Lang T. Brown (“Brown”), and Hue Gaiser (“Gaiser”), for summary judgment; (2) motion of Shakey’s for summary judgment on the counterclaim filed by Caple; and (3) motion of Shakey’s to amend the complaint in order to add Hoa Chung Tran…
