Plaintiffs are trustees of a health and welfare trust fund for carpenters. They brought this suit in equity to secure performance of two alleged contracts by the defendant employer to make contributions to this fund. The defendant denied any obligation and asked to have one of the purported contracts rescinded. A trial was held and the court dismissed plaintiffs’ complaint, as well as defendant’s counterclaim for rescission. Plaintiffs appealed and defendant cross-appealed.
