FINDINGS OF FACT AND CONCLUSIONS OF LAW

After considering the pleadings filed, the stipulations contained in the Joint Final *500Pretrial Order [Doe.28], and the evidence and testimony presented at the trial held on March 28, 2016, the Court adopts the following as its findings of fact and conclusions of law pursuant to Rule 7052 of the Federal Rules of Bankruptcy Procedure.
I. PROCEDURAL HISTORY.
