(after stating the facts as above). The receiver of an insolvent corporation sues to recover for the injury he *40claims the defendants inflicted upon the Improved Property Holding Company of New York, hereinafter called the company, by their fraudulent and negligent conduct while acting as directors thereof. This is the first of the two suits and will be the first considered.
