The dispositive issue in this appeal is whether the trial court correctly limited parol evidence to the intent of the parties when executing a 1989 contract.

In 1988, Virginia Electric and Power Company (Virginia Power) issued a request for proposals seeking independent power producers who would supply electric power to Virginia Power. One responding company was Beckley Cogeneration Company (Beckley), a Delaware limited partnership.
