OPINION

WOLIN, District Judge.

This matter comes before the Court on a motion for partial summary judgment filed by defendant Orion Sales, Inc. (“Orion”). The Court has decided the matter- pursuant to Rule 78 of the Federal Rules of Civil Procedure. For the reasons stated herein, the Court will grant defendant’s motion for partial summary judgment.

BACKGROUND
