(Washington Belt), on the open account of Active Erectors & Installers, Inc. (Active), a corporation wholly owned by the Sparlings. Michael Sparling is the chief operating officer of Active. The balance due Washington Belt from Active has never been in dispute. What is in dispute is whether the Sparlings are personally liable for the amount.
