Before the court is the third-party defendant’s March 12, 2001 motion to dismiss for lack of in personam jurisdiction pursuant to Fed.R.Civ.P. 12(b)(2), or, in the alternative, to dismiss for improper venue pursuant to Fed.R.Civ.P. 12(b)(3) and 28 U.S.C. §§ 1391(a), 1406(a). The matter was submitted to the presiding Magistrate Judge for proposed findings of fact and a recommended disposition. On May 16, 2001, Magistrate Judge B.
