MEMORANDUM OPINION

CACHERIS, District Judge.

This matter is before the Court on the defendant’s motion to dismiss.

I. Background

This dispute arises out of the dishonor of a letter of credit issued in connection with a multi-party international commercial transaction. In this action, plaintiff RZS Holdings, AW (“Plaintiff’ or “RZS”), a Virginia partnership with its principal place of business in Virginia, was the beneficiary of a letter of credit.
