OPINION

WHITMAN KNAPP, District Judge.

This is a diversity action by a former employee of General Motors Corporation against his former employer. Plaintiff had been general manager of the corporation’s New York City Cadillac retail division until July, 1972 when the corporation closed down its Cadillac retail operations and liquidated this division. Prior to the closing plaintiff applied for and accepted a franchise from the corporation to be its Cadillac dealer for the Borough of Brooklyn.
