In this case, the Securities Exchange Commission (“SEC”) has brought various claims against defendant Stephen M. Kovzan under the federal Securities Act of 1933 (“Securities Act”), 15 U.S.C. § 77a et seq., and the federal Securities Exchange Act of 1934 (“Exchange Act”), 15 U.S.C. § 78a et seq. The matter is presently before the Court on defendant’s motion to dismiss the amended complaint (Doc. # 23). For the reasons set forth below, the motion is granted in part and denied in part.
