ALLPORT, Acting P. J.

Ralph J. Geffen appeals from a judgment entered in favor of Russell J. Moss in an action for damages for breach of contract. It appears without conflict that, because of an appointment as a United States magistrate precluding him from continuing the private practice of law, attorney Geffen entered into a written agreement with attorney Moss whereby Geffen agreed to sell and Moss to buy “the physical assets, files and work in process” of Geffen’s law practice.
