INTRODUCTION

On May 15, 1990, AP Industries, Inc. (the “Debtor”) commenced the adversary proceeding herein (the “Adversary Proceeding”) against a creditor SN Phelps & Company, (“Phelps”), Phelps’ attorney I. Walton Bader, and the law firm Bader & Bader (together, “Bader”) (collectively, the “Defendants”) seeking relief under §§ 362(a) and (h) of the Bankruptcy Code (the “Code”) and, alternatively, an injunction pursuant to § 105 of the Code.
