DUFFY, District Judge.
This matter is before the court upon motions filed by Defendants Sodetal, S.A. (“SO/FRANCE”) and Sodetal USA, Inc. (“SO/USA”). SO/FRANCE moves to dismiss for (1) insufficiency of service, (2) lack of personal jurisdiction, (3) lack of subject matter jurisdiction, (4) failure to state a claim, and (5) improper venue based on comity and abstention doctrines.
