OPINION
CROAKE, District Judge.
This court is now called upon to determine the fairness, legality and overall propriety of the proposed settlement to the actions at bar. The actions charge defendants with violations of § 17(a) of the Securities Act of 1933 [15 U.S.C. § 77q(a)], §§ 10(b) and 14(a) of the Securities Exchange Act of 1934 [15 U.S.C. § 78j(b) and 15 U.S.C. § 78n(a)] and breach of contract. The jurisdiction of this court rests on § 22(a) of the Securities Act of 1933 [15 U.S.C. § 77v(a)] and § 27 of the Securities Exchange Act of 1934 [15 U.S.C. § 78aa]. The facts of the case are as…
