THIS CAUSE came before the Court on a Motion to Dismiss filed by Defendants, Sunvest Communities USA, LLC (“Sun-vest”), E.W. Sunvest Development, LLC (“E.W. Sunvest”) (collectively “Sunvest”), and IMG Academies, LLP (“IMG”) (collectively, “Defendants”) [D.E. 12], on January 20, 2009. The Court has carefully considered the parties’ written submissions and applicable law.
