Separate appeals by the plaintiff, Charles Brock, from two orders of the Supreme Court, made at the New York Special Term and entered in the office of the clerk of the county of New York on the 9th day of December, 1914, sustaining the separate demurrers of the defendants Poor and Bennett to the amended complaint.

Laughlin, J. :
On the 29th day of November, 1904, the plaintiff was a stockholder of the defendant corporation. An agreement in writing of that date was made between him and other stockholders of the company and the defendants Poor and Bennett as trustees. The plaintiff brings this action, not only in his own behalf, but also in behalf of all other stockholders who became parties to said agreement or succeeded to the rights of parties thereto, to compel an accounting by the trustees with respect to acts under and by virtue of said agreement and in connection therewith, alleged to have been in…
