MEMORANDUM OPINION AND ORDER

SHADUR, District Judge.

Conway Corporation (“Conway”) has sued Carl Ahlemeyer (“Ahlemeyer”), Sash Spencer (“Spencer”) and Charles Merrick (“Merrick”), all the shareholders (collectively “Shareholders”) of Illinois Pork Corporation (“IPC”), for recovery of a commission that Shareholders assertedly owe under an October 31, 1988 letter agreement (“Agreement”) as to the then-contemplated sale of Shareholders' IPC shares or of IPC’s assets.
