OPINION

McKEAGUE, Circuit Judge.

Excel Energy had an exclusive contract with Cannelton Sales to sell coal to a particular industrial plant. After the ultimate parent of Cannelton Sales was merged with another mineral-based company, one of Cannelton Sales’ new sister companies sold coal to that same industrial plant. Excel Energy sued Cannelton Sales, the sister , company, and one of the parent companies for breach of contract and several other claims.
