MEMORANDUM OPINION
COLLYER, District Judge.
Morton A. Bender and a majority of the Board of Directors of Independence Federal Savings Bank (“IFSB” or “Bank”) are opposing contestants for control of the future direction of the Bank. The Bank was labeled a “troubled” institution by the Office of Thrift Supervision (“OTS”) in 2003 and has never shed that label. Together with his wife, Mr. Bender owns 21% of the Bank’s outstanding stock.
