All parties to this action have made dueling motions for summary judgment pursuant to Rule 56, Fed.R.Civ.P. The action arises out of a failed international transaction involving the sale of goods alleged to be valued at $489,113.98. Upon the facts and conclusions set forth below, the motion of defendant TD Banknorth, N.A.
